When making a Submission, you agree that Fabconnect is not obligated to compensate you for the license or Submission. Furthermore, you acknowledge that once a Submission is provided to Fabconnect, it is no longer considered confidential or non-public, and Fabconnect alone has the discretion to decide whether to post or utilize the Submission. In the event a Submission is posted or used through the Service, you understand and agree that the Submission and its contents become publicly accessible and can be used by others, as outlined below.

By providing a Submission to Fabconnect through the Site or other means, you: (a) Agree not to make any Submission that violates the Terms of Use in any manner. (b) Automatically grant Fabconnect a perpetual, worldwide, unlimited, irrevocable, transferable, assignable, sublicenseable, royalty-free license to use the Submission, and to exercise all copyright, publicity, and other rights with respect to the Submission. (c) Subject to existing laws, waive any moral rights you or your licensors may have in the Submission. (d) Agree to be responsible for all fees, royalties, or other costs and expenses claimed by any third party arising from your Submission.

You also grant each user of the Service a perpetual, worldwide, non-exclusive, royalty-free license to access your Submission through the Service, and to use, reproduce, collect, distribute, share, display, and perform such Submission as allowed through the Service and under these Terms of Use.

You agree to indemnify, protect, defend, reimburse, and hold Fabconnect, along with its officers, directors, employees, and representatives, harmless from any and all claims, demands, actions, costs, liabilities, losses, and damages of any kind, including attorneys' fees, arising from:

(i) Your use of the Site; (ii) Your violation of any provision of these Terms of Use; (iii) The legality, reliability, appropriateness, originality, or copyright of any submission; and/or (iv) Your infringement upon the rights of another, whether through action or omission.

FABCONNECT PROVIDES THE SITE, ALONG WITH ALL INFORMATION, CONTENT, USER-GENERATED CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE), AND SERVICES MADE AVAILABLE THROUGH THE SITE, ON AN "AS IS" AND "AS AVAILABLE" BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SITE IS AT YOUR SOLE RISK, UNLESS OTHERWISE SPECIFIED IN WRITING.

FABCONNECT DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THIS INCLUDES BUT IS NOT LIMITED TO WARRANTIES OF NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, OR ANY WARRANTIES CONCERNING YOUR USE OF THE SITE, THE ACCURACY OF RESULTS OBTAINED THROUGH YOUR USE OF THE SITE, OR THE AVAILABILITY OF THE SITE ITSELF.

IT IS POSSIBLE THAT THE FABCONNECT SITE, OR ONE OR MORE PARTS OF IT, FEATURES, OR SERVICES ACCESSIBLE THROUGH THE SITE, MAY BECOME TEMPORARILY OR PERMANENTLY INACCESSIBLE, UNAVAILABLE, OR INOPERABLE FROM TIME TO TIME.

 

1. Limitation of Liability

FABCONNECT SHALL NOT BE HELD LIABLE TO YOU, AND YOU SHALL BE SOLELY RESPONSIBLE, FOR THE SELECTION, USE, AND SUITABILITY OF THE SITE AND THE INFORMATION, CONTENT, SERVICES, AND EXPERIENCES PROVIDED VIA THE SITE. FABCONNECT SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES ARISING IN CONNECTION WITH YOUR USE OF THE SITE, OR YOUR PURCHASE OR USE OF ANY SERVICES OR EXPERIENCES VIA THE SITE. THESE DAMAGES INCLUDE BUT ARE NOT LIMITED TO LOSS OF OR DAMAGE TO DATA OR INFORMATION, PERSONAL INJURY, OR PROPERTY DAMAGE, REGARDLESS OF THE CAUSE, WHETHER BASED ON CONTRACT, TORT, WARRANTY, OR OTHER LEGAL THEORY, EVEN IF FABCONNECT WAS PREVIOUSLY INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR SUCH DAMAGES COULD HAVE BEEN REASONABLY FORESEEN BY FABCONNECT.

EVEN IF ANY REMEDY DESCRIBED HEREIN FAILS OF ITS ESSENTIAL PURPOSE OR OTHERWISE, FABCONNECT'S TOTAL LIABILITY, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED $50.

 

1. Exclusions and Limitations

Please be aware that in certain jurisdictions, there might be restrictions on excluding specific warranties or limiting/excluding liability for incidental or consequential damages. Consequently, some of the limitations outlined in the section above may not be applicable to you. Your rights and remedies may vary depending on your jurisdiction's laws.

 

1. Force Majeure

If Fabconnect is unable to fulfill its obligations under this Agreement due to circumstances beyond its reasonable control, such as acts or threats of terrorism, war, emergencies, acts of God, work stoppages, or similar events, it is mutually agreed that such non-performance will be excused during the duration of such circumstances and will not be considered a breach of this Agreement.

1. Governing Law

These Terms of Use will be governed by and interpreted in accordance with the internal substantive laws of the State of Cairo, Egypt, without consideration of its conflicts of laws principles. Except for claims related to injunctive or equitable relief concerning intellectual property rights, which may be brought in any Governorate or Federal court with competent jurisdiction located in Cairo, Egypt, any claim, dispute, or controversy arising from or connected to the Site, the Service, and/or these Terms of Use will be resolved through binding arbitration following the Rules of Egyptian Laws.

Any such claim must be initiated by you solely in your individual capacity and not as a plaintiff or representative member in any purported class or collective action. Both Fabconnect and you will individually bear the costs and legal fees associated with the arbitration, regardless of the outcome.

Notwithstanding any contrary statute or law, any claim or cause of action, whether arising in contract or tort, at law or in equity, must be filed within one (1) year from when it first arose, or it will be permanently barred. The place of arbitration shall be Cairo, Egypt, and you expressly agree that it shall be the sole location for such arbitration.

Judgment based on any arbitration award may be entered by any court with competent jurisdiction located in Cairo, Egypt, and each of the parties herein expressly consents and submits to the exclusive jurisdiction and venue of such courts for this limited purpose.

Some jurisdictions may not permit the exclusion or limitation of implied warranties or the limitation of liability for incidental or consequential damages. Additionally, certain jurisdictions may have special statutory consumer protection provisions that could supersede the above disclaimers and limitations. Consequently, if prohibited by law, these disclaimers and/or limitations may not apply to you.
